In this Agreement, Open stance Co., Ltd. (hereinafter referred to as "the Company".) has provided "Nishimachi STORE" and settlement management service with login function, "hubsynch", (hereinafter referred to as the " the Service ".), and the following are necessary matters for using them. In order to use the Service, you will need to agree to this Agreement. If you do not agree with this Agreement, you will not be able to use the Service.
Upon the usage of this Service, the Agreement will be applied, and the Agreement shall be abode by in case of application procedure as hubsynch user account (hereinafter referred to as "user".) or using the Service. When a user uses the Service, he is deemed to have agreed to this Agreement.
In addition, members under age cannot use the Service without the consent from a competent legal representative in advance.

Article 1 Meanings of terms

Terms used in the Agreement shall have the following meanings.

1. "Hubsynch" indicates the settlement management service with login function.
2. The term "user" indicates a person who agrees to the Agreement and has applied for user registration to use this Service and has been authenticated by the Company.
3. The term "user password" indicates a combination of provided symbols arbitrarily designated by the user for identifying him.
4. “Hubsynch merchant account (hereinafter referred to as the “merchant”.)” indicates a seller who sells goods through this Service.

Article 2 User Registration

1. People wish to use this Service shall input necessary information and register to our membership according to the prescribed procedures of the Company.
2. User shall register to this Service and agree to provide the latest correct and complete information to the Company.
3. Once the Company finds no defect in the input information mentioned in the preceding paragraph, this user shall be authenticated.

Article 3 Use of the Service

1. The user will be able to use this Service after the user registration set forth in the preceding article.
2. The user can input his registered email address and user password according to the method prescribed by the Company and uses this Service in case of purchasing products, etc. from the merchant site.
3. The user can use this Service to purchase products, etc. from merchants using various settlement methods including credit card settlement and convenience store settlement. With regard to the settlement methods, each merchant may be different.
4. In case of users purchasing products, etc. from the merchants, the Company will act as the agents of merchants and receive the payments from user through this Service.
5. Users' settlement information including the credit card information is collectively managed by this Service, so users can make the payments without revealing settlement information to the merchants.
6. With regard to the usage of this Service, the Company has certain conditions including the age limit for using a credit card.

Article 4 Use queries, etc.

1. The user can confirm various information including registration information and usage history of this Service from My Page.
2. If the user has any doubts toward the contents of the preceding paragraph, he shall submit them to the Company.

Article 5 Management of user accounts, etc.

Article 6 Confirmation and renewal of user information

1. A user can renew the registered user information through method prescribed by the Company at My Page.
2. The user shall immediately renew his registered information when the information registered has been changed.
3. If a notification from the Company is delayed or cannot reach to the user because his registered information mentioned in the preceding paragraph is not changed, this notification will be deemed to have reach to the user at reasonable time, and the user is deemed to agree that the Company shall not be liable to any damages caused to him.

Article 7 Renewal of the Terms of Use

1. With notifications to the user and on the homepage of this Service, the Company shall be able to renew the contents of this Agreement.
2. After the renewal of this Agreement, all matters related to this Service shall be following the provisions of the renewed agreement.
3. If a user continues to use this Service, he will be deemed to agree to the renewed service and this regulation.
4. The user shall be deemed to fully understand all the contents of the preceding paragraphs and confirm contents of the Agreement on a regular basis.
5. The Company shall not be under any liability related to the renewal of the agreement regardless of whether the renewal of the agreement can or cannot bring any direct or indirect damage to the user and whether these damages can or cannot be predicted.

Article 8 Renewal or Abolition of the Service Provided

1. The Company shall be able to alter the entire or part of this Service and abolish in proper time at our discretion.
2. In case of changes and abolition, the procedures shall be the same as the preceding article.

Article 9 Stop of this Service by the Company

In case of irreparable damage to the system or other comparative reasons, the detailed information shall be notified to the user and published on the homepage of this Service, and this Service shall then be totally or partially stopped.

Article 10 Discontinuation procedure of this Service by the user

1. If the user would like to discontinue the use of this Service, he shall carry out the use discontinuation procedure (withdrawal) through the method prescribed by the Company from My Page.
2. Based on the preceding paragraph, after conducting the use discontinuation procedure by the user, the Company shall stop providing this Service to the user and the related user information shall be unable to use.

Article 11 Disclaimer of the Company

1. This is a settlement service with login function, and the Company shall not be under any liability related to the products purchased using this Service. In case of any problems occurring to the products, etc. purchased, please contact the merchant of this purchase.
2. With regard to transaction contents related to the purchase, handling commodities and service, detailed information related to commodities, and the handling of Personal Information by the merchants, please contact the merchants.
3. Including the interruption, delay, suspension, and disappear of data due to the failure of communication lines or computers, etc., damage caused by unauthorized access to data and other damages occurring to the user during the usage of this Service, the Company shall not be liable for any of them.
4. The Company cannot guarantee that mails delivered from the webpage, server, and domain, etc. and contents of this Service do not contain anything harmful such as a computer virus.

Article 12 Prohibitions

1. The user shall not commit the acts listed in any of the following items while using this Service.
   1. Making a false application during user registration
   2. Making a purchase while pretending to be someone else, deliberately providing false information, making an order without any intention to pay, and other dishonest acts
   3. Interfering the business of the Company, the merchants, or a third party with computer viruses, etc., and actions similar to it
   4. Acts that can lower the image or damage the rights, benefits, or credits of the Company, the merchants, or a third party
   5. Acts that can infringe the patents, utility model rights, design rights, trademark, copyright, portrait rights and other rights of the Company, the merchants, or a third party, or acts with the possibilities
   6. Acts that can bring a hindrance to the management and usage of the equipment belonging to the Company, the merchants, or a third party, or other acts with the possibilities
   7. Acts that can cause disadvantages to the Company, the merchants, or a third party
   8. Acts that are contrary to laws and regulations, or other acts with the possibilities
   9. Disregarding to each of the regulations prescribed by the Company in this Agreement
   10. Disregarding to each of the regulations prescribed by the merchant who sells products using this Service
   11. Other actions determined to be inappropriate such as spamming
2. Violations of the preceding paragraphs may cause the Company to stop the user from the use of this Service.
3. In case of damages to the Company or to a third party due to the violations of the user, the user shall be under all the liabilities of compensation.

Article 13 About the handling of user's Personal Information, etc.

1. Including the user's Personal Information and transaction information, all the information related to the user (hereinafter referred to as "Personal Information".) shall be properly managed in the system of this Service by the Company based on our "Private Policy" separately created.
2. The user shall be consent to the use of Personal Information registered for the management and operation of this Service by the Company in advance.

Article 14 Notifications from the Company

1. The Company shall inform necessary matters to the user through appropriate methods considered by the Company at any time, such as sending notifications through emails or putting them on the homepage of this Service.
2. The user shall be obliged to confirm the matters specified in the preceding paragraph as soon as possible.
3. The user shall agree that notifications specified in the preceding paragraph 1 are deemed to have reached to the user as soon as they are distributed.

Article 15 About cookie

In order to investigate the access history and usage status of the user to provide the best service to other users, the Company shall collect the IP address information and use cookie technique to collect information related to the access history of the user when the user accesses to our service. Please note that if the user takes any actions to reject cookies in your browser, this Service may be limited.

Article 16 Matters outside the provisions

In the event a dispute arises between the user and the Company both parties shall attempt to resolve the matter through discussion based on the principals of good faith and fair dealing.

Article 17 Court of jurisdiction

The Tokyo District Court shall be the exclusive agreed jurisdictional court for lawsuits between the user and the Company related to the Agreement and this Service.
